Terms of Service

1. Acceptance of Terms

By creating an account, purchasing credits or connecting to our proxy endpoints, you accept these Terms and our Privacy Policy and, if applicable, a Data Processing Agreement (DPA) with you as controller and Atheris as processor for any personal data you route through the Service. If a signed master agreement or order form conflicts with these Terms, that document controls.

2. Key Definitions

  • Account — your registered profile and credentials.
  • Endpoints / IPs — Atheris-managed proxy nodes, including 4G/5G device connections and carrier networks.
  • API Key — credential granting programmatic access.
  • Abuse — any use in §11 (Prohibited Use) or contrary to law, platform terms, or sanctions.

3. Eligibility & Compliance

You represent that you (a) have legal capacity, (b) are acting for business purposes, (c) are not subject to EU/UN/US/UK sanctions, and (d) will comply with applicable law, including information-society rules and data protection. Estonia requires online service providers to display core company information; you can find ours in the site imprint.

4. Registration, Security & API Keys

Provide accurate information and keep it current. You are responsible for all use under your Account and API keys. Keep credentials confidential; rotate keys if compromised. We may require identity, business, or sanctions screening before or after activation (see §12).

5. Service Description; No Telecom Service

Atheris provides enterprise-grade mobile proxy infrastructure using real device connections and carrier IPs, rotation logic, monitoring, and support; availability and features are described on our site. We don't guarantee access to any specific third-party website or platform, nor any particular IP trust score; blacklisting, captchas, or rate limits at targets are outside our control.

6. Ordering, Term, Auto-Renewal & Changes

Plans may be credit-based or subscription. Subscriptions renew automatically for the same term unless you cancel inside the dashboard before renewal. We may modify features, plans, or pricing with notice via dashboard/email; material changes apply on next term.

7. Fees, Taxes, VAT & Invoicing

Fees are due upfront unless stated otherwise. VAT: From 1 July 2025, Estonia's standard VAT rate is 24%; we charge VAT where applicable (e.g., Estonian customers; EU customers without a valid VAT number). For valid EU VAT numbers, reverse charge may apply. Invoices are issued electronically. You authorize us to use payment processors to collect fees and handle currency conversions.

8. Refunds, Chargebacks & Credits

All purchases are non-refundable unless mandated by law or expressly stated in a SLA or order form. If you initiate a chargeback, we may suspend the Account immediately; you remain liable for fees, chargeback costs, and our reasonable collection expenses.

9. Data; Privacy; Logs; DPA

Role: For traffic you route, you are controller; we act as processor.

Processing: We process only what's needed to provide the Service (connectivity, routing, billing, security), under a DPA on request and GDPR Art. 6(1)(b), (f).

Content visibility: We are a mere conduit and do not monitor your payload content; however, we may algorithmically analyze metadata to prevent abuse, ensure billing integrity, and maintain network health.

Logs: By default we keep minimal connection metadata (timestamp, IP/port, bytes, session outcome) for billing, security, and legal compliance, for a limited retention window.

Sub-processors & transfers: Listed in our DPA or trust page; if transfers outside the EEA occur, we use appropriate safeguards.

10. Network Fair Use & Technical Controls

To preserve quality and reputation, we may apply rate limits, session caps, rotation rules, concurrency limits, geographic restrictions, and automated blocks on indicators of abuse or sanctions risk. You must not attempt to bypass these controls.

11. Prohibited Use

You must not use the Service to:

  • • Violate law or third-party rights; circumvent platform terms without authorization; access systems without permission.
  • • Distribute malware; perform DDoS; run botnets; scan or exploit vulnerabilities; brute-force credentials.
  • • Traffic in illicit goods/services; child sexual abuse material; human exploitation; extremist propaganda.
  • • Commit fraud, identity theft, or payment fraud; send spam/unsolicited marketing; manipulate ad metrics.
  • • Interfere with the Service, other users, or carriers; scrape personal data without a lawful basis.

Enforcement: We may suspend without notice for suspected abuse or risk to our Service, customers, carriers, or reputation; no refunds if we act reasonably under this clause.

12. Sanctions, KYC/AML & Export Controls

We screen for sanctions exposure and may request identity or business-verification documents. You warrant you're not located in, or ordinarily resident in, comprehensively sanctioned jurisdictions and will not make the Service available to listed persons/entities. We comply with EU/UN sanctions and Estonian guidance.

13. Safe-Harbour & Notice-and-Takedown

Atheris is an information-society service provider. We are not liable for information transmitted as a mere conduit and have no general obligation to monitor. We will act expeditiously upon lawful notice of illegal use. Abuse reports: [email protected] (include headers/logs/timezone).

14. Security & Support

We maintain reasonable safeguards and will notify you of significant security incidents. Support is provided on a commercially reasonable basis. We don't guarantee uninterrupted or error-free operation.

15. Suspension & Termination

We may suspend or terminate for: material breach, non-payment, sanctions/KYC failure, abuse, or legal request. You may terminate at any time via dashboard; prepaid amounts are non-refundable unless required by law.

16. Intellectual Property

The Service, docs, designs, code, and trademarks remain our or our licensors' exclusive property. You receive a non-exclusive, non-transferable, revocable right to access the Service for your internal business purposes.

17. Warranties & Disclaimers

The Service is provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law. You acknowledge that target sites may block or throttle traffic; we are not responsible for their actions.

18. Limitation of Liability

To the maximum extent permitted by Estonian law, our aggregate liability for all claims in any 12-month period will not exceed the fees you paid for the Service during that period. We are not liable for indirect, incidental, special, punitive, or consequential damages.

19. Indemnity

You will defend, indemnify, and hold harmless Atheris against claims arising from your misuse of the Service, violation of law/third-party rights, content you route, or breach of these Terms.

20. Governing Law & Disputes

These Terms are governed by Estonian law. For business users, disputes shall be finally settled by arbitration at the Court of Arbitration of the Estonian Chamber of Commerce and Industry in Tallinn. Consumers may bring claims in courts of their habitual residence.

21. General Provisions

Force Majeure: Neither party is liable for delays due to events beyond reasonable control.

Notices: We'll contact you at the email on your Account; you'll contact us via channels listed on our site.

Assignment: You may not assign without our consent. We may assign to an affiliate or successor.

Entire Agreement: These Terms (plus any DPA, SLA, order form) are the complete agreement. If a clause is unenforceable, the remainder stays effective.
